These Terms of Service and Research-Use Policy (“Terms”) govern your access to www.rowellness.co, your use of RoWellness services, and any purchase made through RoWellness.

By accessing the website, accepting the Research Use & Age Verification notice, placing an order, or completing any checkout acknowledgement presented to you, you agree to these Terms.

If you do not agree, do not use the website or purchase RoWellness products.

1. Research Use Only

All products offered by RoWellness are sold exclusively for laboratory research, analytical, educational, and other lawful research purposes.

RoWellness products are not intended for human or veterinary consumption or administration.

You agree that RoWellness products will not be:

• ingested;
• injected;
• administered topically, orally, subcutaneously, intramuscularly, intravenously, or by any other route;
• introduced into any human or animal;
• used for diagnosis, treatment, mitigation, cure, or prevention of any disease or medical condition;
• used as a drug, food, dietary supplement, cosmetic, or therapeutic product; or
• resold, transferred, marketed, or distributed for any prohibited human or veterinary use.

Certain products offered by RoWellness may be investigational and/or may not be approved by the U.S. Food and Drug Administration for human use.

Nothing on the RoWellness website should be interpreted as representing that any product is safe, effective, approved, or appropriate for human or veterinary use.

2. RoWellness Is Not a Healthcare or Compounding Provider

RoWellness is not:

• a pharmacy;
• a licensed compounding pharmacy;
• a licensed compounding laboratory;
• a medical practice;
• a healthcare provider; or
• a prescribing service.

RoWellness does not provide individualized medical advice, diagnosis, treatment recommendations, prescribing services, dosing instructions, administration instructions, or therapeutic guidance.

Information appearing on the website is provided for general research and educational purposes only.

Nothing on the website creates a physician-patient, pharmacist-patient, healthcare-provider, or other professional relationship.

3. Age and Eligibility

RoWellness maintains a 21-and-over site policy.

By accessing the storefront or placing an order, you represent that:

• you are at least 21 years of age;
• you have legal capacity to enter into these Terms;
• your purchase, possession, handling, and intended research use are lawful in your jurisdiction; and
• you understand and accept the research-use restrictions described in these Terms.

RoWellness reserves the right to decline, cancel, limit, or refuse any order where we reasonably believe the proposed purchase or intended use is inconsistent with these Terms or applicable law.

4. Site-Entry Research Use & Age Verification

Access to the RoWellness storefront may require completion of our Research Use & Age Verification gate.

By selecting “I UNDERSTAND & AGREE — ENTER SITE,” you affirm that:

• you are at least 21 years old;
• you have read and understood the research-use notice;
• you understand the products are not intended for human or veterinary use; and
• you agree to comply with these Terms.

RoWellness may retain a browser-based record of that acknowledgement for a limited period for purposes of site functionality.

Acceptance of the site-entry notice does not override or replace these Terms.

5. Checkout Research-Use Acknowledgement

Where presented during checkout, you may also be required to complete a separate Research Use Acknowledgement before an order can be submitted.

By checking that acknowledgement and placing an order, you reconfirm that:

• you are at least 21 years of age;
• the products in the order are being purchased solely for lawful laboratory research, analytical, or educational purposes;
• the products are not intended for human or veterinary use;
• you understand that RoWellness does not provide medical, dosing, prescribing, or administration guidance; and
• you agree to be bound by these Terms.

RoWellness may maintain a record that the checkout acknowledgement was accepted in connection with the applicable order.

An order may not be completed where a required checkout acknowledgement has not been accepted.

6. Customer Responsibility

You are solely responsible for determining whether your purchase, possession, handling, storage, research use, transfer, or disposal of any product is lawful and appropriate for your intended research application.

You are responsible for:

• proper storage;
• appropriate laboratory handling;
• appropriate protective equipment and safety procedures;
• maintaining product identification and labeling;
• preventing unauthorized access;
• complying with applicable institutional procedures; and
• lawful disposal.

RoWellness does not assume responsibility for misuse, unauthorized use, improper storage, improper handling, or use outside the research-only scope described in these Terms.

7. Orders and Acceptance

All prices are stated in U.S. dollars unless otherwise indicated.

Prices, availability, product sizes, inventory, promotions, and product information may change without notice.

Submitting an order does not guarantee acceptance.

RoWellness may refuse or cancel an order for reasons including:

• product availability;
• pricing or listing errors;
• suspected fraud;
• payment authorization failure;
• suspected prohibited use;
• inability to verify necessary information; or
• legal, regulatory, processor, or shipping restrictions.

If an order is canceled after payment has been captured, any refund due will be handled according to the applicable payment method and RoWellness refund policies.

8. Payment Processing

Payments may be processed by third-party payment processors and financial institutions.

RoWellness does not necessarily receive or store complete payment-card credentials.

Your use of a particular payment method may also be subject to the terms and privacy policies of the applicable payment provider.

Shipping availability, methods, costs, delivery estimates, restrictions, and responsibilities are governed by the current RoWellness Shipping Policy, which is incorporated into these Terms by reference.

Delivery estimates are estimates and are not guarantees unless expressly stated otherwise.

Customers are responsible for providing complete and accurate shipping information.

10. Returns, Refunds, and Order Issues

Returns, replacements, refunds, damaged shipments, incorrect orders, and related matters are governed by the current RoWellness Returns/Refund Policy, which is incorporated into these Terms by reference.

Customers should inspect shipments promptly after delivery and contact RoWellness within the timeframes provided in the applicable policy.

11. Certificates of Analysis and Analytical Information

Where RoWellness provides a Certificate of Analysis (“COA”), laboratory report, purity result, analytical result, or similar documentation, that documentation relates to the sample, lot, batch, or material identified in the applicable report.

Analytical results are provided for research reference and documentation purposes.

A COA or analytical result does not constitute:

• approval for human use;
• medical or therapeutic validation;
• a guarantee regarding any particular experimental result;
• a representation of clinical safety or efficacy; or
• authorization for any use inconsistent with these Terms.

Customers are responsible for independently determining whether available documentation is adequate for their particular research requirements.

12. Product Information and Educational Content

Product descriptions, research summaries, educational articles, FAQs, and other website content may discuss compounds, mechanisms, published research, or areas of scientific investigation.

Such information is informational only.

It is not intended to recommend:

• consumption;
• administration;
• dosage;
• treatment;
• disease management;
• therapeutic protocols; or
• use in humans or animals.

References to published research do not mean that RoWellness endorses, recommends, or authorizes any particular use.

13. Prohibited Uses

You may not use the website or RoWellness products:

Questions regarding laboratory procedures, institutional requirements, legal restrictions, or regulatory compliance should be directed to appropriately qualified professionals.

16. Intellectual Property

The RoWellness name, branding, logos, mascot designs, website design, graphics, photographs, written content, educational material, and other original website content are owned by or licensed to RoWellness and may be protected by intellectual-property laws.

You may not reproduce, distribute, republish, sell, modify, or commercially exploit RoWellness content without prior written authorization except where permitted by law.

17. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the website, services, and products are provided on an “as is” and “as available” basis except for any express written warranty specifically provided by RoWellness.

RoWellness disclaims warranties that are not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent such disclaimers are permitted by applicable law.

RoWellness does not warrant that:

RoWellness is not responsible for the independent content, availability, security, privacy practices, or terms of third-party services.

21. Fraud, Chargebacks, and Payment Disputes

If you believe there is a problem with an order or payment, please contact RoWellness promptly so we can attempt to resolve the issue.

Fraudulent chargebacks, intentional payment disputes involving valid fulfilled orders, or misuse of payment systems may result in cancellation of future orders or restriction of access to RoWellness services.

Nothing in this section limits any consumer right that cannot lawfully be waived.

Collection and use of personal information are governed by the current RoWellness Privacy Policy, which is incorporated into these Terms by reference.

The Research Use & Age Verification gate currently records acknowledgement status locally in the visitor’s browser and does not require submission of a date of birth.

23. Electronic Communications

By using the website, placing an order, or contacting RoWellness electronically, you consent to receive transactional electronic communications relating to your interactions with RoWellness, including order confirmations, shipping notices, customer-service responses, policy notices where appropriate, and payment-related communications.

Marketing communications are subject to any separate opt-in requirements and unsubscribe rights applicable to those communications.

24. Governing Law and Disputes

These Terms and any dispute arising from your use of the website or purchase from RoWellness will be governed by the laws of the State of Maryland, without regard to conflict-of-law principles.

Subject to any rights that cannot legally be waived, the parties agree that disputes will be brought in an appropriate state or federal court located in Maryland.

Do NOT add arbitration provisions or class-action waivers.

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or modified only to the extent necessary, and the remaining provisions will continue in effect to the extent permitted by law.

26. No Waiver

Failure by RoWellness to enforce any provision of these Terms does not waive the right to enforce that provision or any other provision later.

RoWellness may update these Terms periodically.

The “Last Updated” date identifies the current published version.

Continued use of the website after updated Terms are posted constitutes acceptance of the revised Terms to the extent permitted by applicable law.

Material changes may also be communicated through the website or other reasonable means.
